Terms & conditions

1. Applicability

These delivery and general terms and conditions apply to all our offers and all agreements concluded with us.

2. Conclusion of the Agreement

A purchase agreement is concluded only by the sending of the order confirmation by us to the counterparty, following an order placed by the counterparty. The order confirmation is sent immediately after the order in the form of an email. Errors and mistakes are entirely at the risk and expense of the buyer. It may occur that products cannot be shipped to every country.

3. Payment

Payment must be made within seven days of the order date. If we have not received your payment within seven days, it is possible that the article(s) you ordered are no longer available at the agreed price. You can then reorder the article at the current price.

Complaints do not suspend the payment obligation.

Setoff is never permitted.

By using a credit card/payment card to pay for your order, you confirm that the card used is yours. All credit card/payment card payments are subject to checks and authorization by the card issuer. If the card issuer refuses authorization of the payment, we will not accept your order and are not liable for any delay or non-delivery of your order, nor are we obligated to inform you of the reason for the refusal. We are not liable for any fees charged by the card issuer or bank as a result of using the credit card/payment card for your order.

4. Majority Age or Permission

By placing an order, the buyer declares to be of legal age or to have the consent of a legal adult parent, guardian, or custodian. If the buyer does not meet this condition, BitsAndParts reserves the right to suspend or cease delivery without further notice.

5. Delivery Time

Depending on availability, BitsAndParts will make every effort to deliver the ordered items within 1 working day after receiving the payment but cannot be held liable for late delivery due to circumstances outside our control. The ordered items will be shipped to the address registered at the time of the order.

Once the products to be delivered have arrived at the destination address, the risk for these products passes to the buyer. If the products cannot be delivered to the address or are delivered to the post office, the risk passes at the moment they are unsuccessfully delivered or handed over at the post office. After a delivery time of more than 30 days, the customer has the right to cancel the agreement.

In the event that the ordered items are no longer available for any reason, BitsAndParts will notify the customer by email (to the address registered with the order) or by phone. If the items are temporarily out of stock, BitsAndParts will ask the customer if they wish to wait until the items are available again. Unless the customer indicates they want to wait, BitsAndParts will credit the amount paid for the items. A refund will be made as soon as possible, and in any case, within 28 days after notifying the customer of the non-availability, the amount will be transferred to the bank account. The customer must ensure that their bank account details are known to BitsAndParts.

6. Shipping

Shipping is always at the seller's expense and risk. The choice of shipping method and packaging is at our discretion. The legal delivery time is the moment when the goods leave our company.

BitsAndParts is entitled to make partial deliveries.

7. Cash on Delivery

If an order sent cash on delivery is refused by the buyer or not picked up from the post office, BitsAndParts will charge the cash on delivery fees and administration costs.

8. Prices

The price we specify includes VAT and is in Euros but excludes shipping costs. All prices are subject to change.

9. Complaints

The buyer is obliged to inspect the products upon arrival and report any defects directly to BitsAndParts. Complaints regarding deliveries must be made within 7 days after the goods have reached the buyer, preferably by email or in writing to us. If no complaint is made, we are deemed to have delivered in accordance with our obligations. If a complaint is made on time and the delivered goods do not meet the agreement, we will, at your choice, either ensure free re-delivery or credit the buyer for the returned goods. Returns are at the buyer's expense. BitsAndParts does not accept postage unpaid returns or returns for which BitsAndParts must pay. If there is an error on the part of BitsAndParts or if an item falls under warranty, the shipping costs will be reimbursed afterward.

10. Disputes

Dutch law applies to all our agreements. The competent Dutch court is authorized to take cognizance of all disputes arising from the agreement between us and the counterparty.

11. Extrajudicial Collection Costs

If we incur legal assistance costs due to non-compliance with the agreement by the buyer, the buyer is obliged to fully reimburse these costs to us.

12. Force Majeure

If BitsAndParts cannot fulfill its obligations due to force majeure, those obligations will be suspended for the duration of the force majeure situation. If the force majeure situation lasts for 14 days, both parties have the right to terminate the agreement entirely or partially by means of a written statement, without the right to any (damage) compensation. Force majeure for BitsAndParts is defined as any circumstance beyond its control that prevents or unreasonably makes it impossible to fulfill its obligations, regardless of whether this circumstance could have been foreseen at the time of entering into the agreement. These circumstances include strikes, exclusions, delays, or other issues with suppliers and/or actions by any government authorities. Parties will notify each other as soon as possible of a (possible) force majeure situation.

13. Warranty

With respect to third-party products, BitsAndParts is not obligated to provide any warranty other than the one obtained from its supplier or the warranty directly provided by the supplier to the end user.

If there is improper use, incorrect assembly, or other causes outside the control of BitsAndParts, the warranty will be void. The warranty does not cover costs or damages caused by the buyer making modifications or repairs to the products or having them done, or if the products are used for purposes other than those intended, or if they have been handled or maintained carelessly or improperly.

BitsAndParts is not obliged to provide any warranty other than as specified in this article.

14. Liability

BitsAndParts will not be liable for any direct or indirect damage for which it has not expressly accepted liability under these terms, except in cases of damage caused by intent or gross negligence on the part of BitsAndParts.

The customer indemnifies BitsAndParts against all claims from third parties in this regard.

BitsAndParts' liability is always limited to the invoice amount of the relevant delivery or the amount that BitsAndParts could have charged the customer at most.

The liability limitation set out in this article applies equally to employees and all other persons used by BitsAndParts for the performance of the agreement.

15. Other Provisions

If individual provisions in these terms and conditions become fully or partially ineffective, this will not affect the validity of the other provisions of these terms and conditions.

In all matters not provided for by these delivery terms, the management of BitsAndParts will always make the decision.
